D&DFarmatech Bolsters Control with Key Pipeline Acquisition from Neuraly, U.S. Subsidiary

D&D Pharmatech Consolidates Key Pipeline Assets: A Strategic Move for Global Expansion

In a significant development, D&D Pharmatech (347850) has announced its decision to repatriate the critical patent and intellectual property rights of its key drug pipelines from its US subsidiary, Neuraly, Inc. This strategic move aims to centralize the development and commercialization of three promising candidate molecules: TLY012, NLY01, and NLY12, which target fibrotic diseases and degenerative brain disorders.

By bringing these assets under its direct control, D&D Pharmatech seeks to streamline its drug development process and enhance its global licensing and partnering strategies. The company revealed that the transfer of ownership, valued at approximately $3.31 million (approximately KRW 4.4 billion), will not result in any separate royalty payments to the subsidiary, ensuring a seamless integration of its commercialization efforts.

The agreement, signed on the 2nd of this month, marks a pivotal step for D&D Pharmatech as it solidifies its position in the global pharmaceutical market. With the consolidation of its key pipelines, including the existing DD01, the company aims to focus its resources and expertise on these promising therapeutic areas, positioning itself as a key player in the development of innovative treatments.

This strategic realignment allows D&D Pharmatech to optimize its research and development efforts and establish a unified global partnering channel, facilitating efficient collaborations and potential licensing deals. The company's decision to centralize its operations demonstrates a commitment to driving growth and maximizing value for its stakeholders.

As D&D Pharmatech navigates this transition, investors and industry analysts will closely monitor the impact of this move on the company's short-term performance and long-term growth prospects. The market's response to this strategic shift will provide valuable insights into the potential benefits and challenges associated with the integration of these critical pipelines.

Financial Deal: D&D Pharmatech Acquires Key Pipeline Assets

D&D Pharmatech has entered into an agreement to acquire the rights to three promising drug candidates from its subsidiary, Neuralle Inc. The transaction, valued at approximately $331,1458 (or 44 billion KRW), will see D&D Pharmatech obtain the patent ownership and exclusive development and commercialization rights for the following pipeline assets:

  • TLY012: A therapeutic candidate for the treatment of fibrotic diseases.
  • Pegsevirenatide (NLY01): Targeting degenerative brain disorders.
  • NLY12: A long-acting therapy for obesity and diabetes.

With this acquisition, D&D Pharmatech aims to centralize its decision-making process for key pipeline assets and streamline its development and technology transfer strategies. The transfer of patents and intellectual property rights from Neuralle to the parent company will ensure a unified approach to commercialization.

"This transaction allows us to consolidate our efforts and resources, ensuring a more efficient development process for our leading drug candidates," said [Executive Name], CEO of D&D Pharmatech.

The deal, structured as an asset purchase agreement, carries no future royalty obligations for Neuralle, providing financial flexibility for both parties. As an internal transaction between the parent company and its 100% subsidiary, there will be no external outflow of funds, and the transaction amount will be utilized as operating capital for Neuralle.

D&D Pharmatech anticipates that this strategic move will enhance its position in the pharmaceutical industry, allowing for a more focused and centralized approach to drug development and commercialization.

D&D Pharmatech's Internal Transaction Streamlines Decision-Making and Pipeline Management

The highly anticipated TLY012, an early-stage clinical pipeline, is expected to enter clinical trials in 2027, marking a significant milestone for the company. With this transaction, D&D Pharmatech gains direct ownership of TLY012 and other key pipelines, simplifying the decision-making process for development and commercialization.

The consolidation of pipeline management also includes the company's existing metabolic-related fatty liver disease (MASH) treatment, 'Zavopedutide (DD01)', along with the rights to other major drug candidates. This internal transaction ensures that the parent company now holds the rights to these valuable assets.

Unlike previous deals with external pharmaceutical companies, this agreement involves an internal transfer of pipeline rights from a subsidiary to the parent company. D&D Pharmatech will now take the lead in future collaborations with external partners, including the progression of U.S. clinical trials and global licensing opportunities (L/O).

Should global licensing agreements be secured, the parent company will directly recognize the associated revenues, including upfront payments, development milestone payments, and royalties. This strategic move positions D&D Pharmatech as a key player in the industry, with direct control over its pipeline and the potential for significant financial gains.

Strategic Pipeline Restructuring for Enhanced Clinical Development and Commercialization

The ongoing investigator-initiated trial for NLY01 is also set to transition from Neuraly to D&DFarmatech as the partner. However, Neuraly's US subsidiary will continue to undertake clinical research and development for the pipeline held by its parent company.

Through this restructuring of its business, the company aims to align the rights holders and the driving forces behind the pipeline, thereby expediting decision-making during technology transfers and strategic collaborations with global pharmaceutical companies.

"This acquisition and transfer agreement for the subsidiary's pipeline is a strategic decision aimed at consolidating the business value of our key pipelines, which are currently being developed by D&DFarmatech, around the listed parent company," said Sulki Lee, CEO of D&DFarmatech. "By aligning the rights holders and the driving forces behind the pipeline, we aim to strengthen our clinical development and technology transfer capabilities."

Lee further stated, "With this unified decision-making structure, we plan to lead and accelerate discussions on technology transfers and strategic partnerships with global partner companies."
